Important Notice: Unmanaged provides portfolio analysis software and educational information. We are NOT a registered investment advisor, broker-dealer, or financial planner. Our Service does not constitute investment advice. You are solely responsible for your investment decisions.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Unmanaged LLC ("Unmanaged," "we," "us," or "our") governing your access to and use of the Unmanaged website, application, and related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

Unmanaged provides portfolio analysis software that:

  • Connects to your brokerage accounts via Plaid to retrieve holdings data
  • Analyzes your portfolio allocation, fee exposure, and investment costs
  • Generates reports showing your portfolio characteristics and potential optimization opportunities
  • Provides educational information about investing concepts

What We Are: A software tool that shows you the math behind your portfolio. We provide data, calculations, and analysis.

What We Are Not: Investment advisors, financial planners, tax advisors, or fiduciaries. We do not recommend specific investments or tell you what to do with your money.

3. Not Investment Advice

THIS IS THE MOST IMPORTANT SECTION OF THESE TERMS. PLEASE READ CAREFULLY.

The Service provides information and analysis for educational purposes only. Nothing in our Service constitutes:

  • Investment advice or recommendations
  • Financial planning advice
  • Tax advice
  • Legal advice
  • A recommendation to buy, sell, or hold any security
  • An offer to buy or sell securities

The analysis, reports, and information provided by our Service are based on the data you provide and publicly available information. They are intended to help you understand your portfolio, not to tell you what to do.

You should consult with qualified professionals (including registered investment advisors, tax professionals, and attorneys) before making investment decisions. Past performance does not guarantee future results. All investments involve risk, including the possible loss of principal.

4. Eligibility

To use our Service, you must:

  • Have the legal capacity to enter into a binding agreement
  • Not be prohibited from using the Service under applicable law

5. Account Registration

To access certain features of the Service, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

6. Third-Party Services (Plaid)

Our Service uses Plaid Inc. ("Plaid") to connect to your brokerage accounts. By using this feature, you:

  • Authorize Plaid to access your brokerage account information on your behalf
  • Agree to Plaid's End User Privacy Policy
  • Acknowledge that your use of Plaid is also subject to Plaid's terms of service
  • Understand that we receive read-only access to your account data and cannot execute transactions

We are not responsible for Plaid's services, availability, or data handling practices beyond our contractual relationship with them.

7. Payment Terms

7.1 Pricing

Our Service is offered at the prices displayed on our website at the time of purchase. Prices are in U.S. dollars and are subject to change with notice.

7.2 Payment Processing

Payments are processed by Stripe. By making a purchase, you agree to Stripe's terms of service. We do not store your full payment card information.

7.3 Refunds

Due to the nature of our Service (immediate delivery of analysis), all sales are final. However, if you experience technical issues that prevent you from receiving your analysis, please contact us within 7 days for a full refund.

8. Intellectual Property

The Service and its original content, features, and functionality are owned by Unmanaged and are protected by copyright, trademark, and other intellectual property laws.

Your analysis reports are yours to keep and use. However, the underlying algorithms, methodologies, and software remain our intellectual property.

You may not:

  • Copy, modify, or distribute our software or content
  • Reverse engineer or attempt to extract our source code
  • Use our trademarks without written permission
  • Scrape or automatically collect data from our Service

9. User Conduct

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Provide false or misleading information
  • Access accounts or data that do not belong to you
  • Interfere with or disrupt the Service or its infrastructure
  • Attempt to gain unauthorized access to our systems
  • Use the Service for any commercial purpose without our consent
  • Transmit malware or other harmful code

10. Data Accuracy and Limitations

While we strive to provide accurate analysis, you acknowledge that:

  • Our analysis depends on data from your brokerage accounts and third-party sources
  • Data may be delayed, incomplete, or contain errors
  • Investment costs and fund information may change without notice
  • Calculations are estimates based on available data and assumptions
  • Historical data does not predict future performance

You are responsible for verifying the accuracy of any information before making investment decisions.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability and fitness for a particular purpose
  • Warranties regarding accuracy, reliability, or completeness of information
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties regarding the results obtained from using the Service

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNMANAGED SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Any loss of profits, revenue, data, or business opportunities
  • Any damages arising from investment decisions you make
  • Any damages exceeding the amount you paid for the Service in the 12 months preceding the claim

These limitations apply regardless of the theory of liability (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Unmanaged and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any investment decisions you make based on information from the Service

14. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms.

You may terminate your account at any time by contacting us or using the account deletion feature in your settings.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) shall survive.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

  • Posting the updated Terms on our website
  • Updating the "Last Updated" date
  • Sending email notification for significant changes

Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Wilmington, Delaware, and the arbitrator's decision shall be final and binding.

You agree to waive any right to a jury trial or to participate in a class action lawsuit.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Unmanaged regarding your use of the Service.
